Marketplace Terms Of Use
Effective from 1.11.2026
1. GENERAL PROVISIONS
1.1. Scope. These terms (the “Marketplace Terms”) govern your access to and use of the StrategyQuant Marketplace available on the Platform at portal.strategyquant.com and within the Software (the “Marketplace”), including browsing, installing and publishing Extensions. They are concluded between StrategyQuant s.r.o., with its registered seat at Korunní 2569/108, Vinohrady, 101 00 Praha 10, Czech Republic, ID No. 04000498, registered in the commercial register by the Municipal Court in Prague, file No. C 241239 (“Empresa”, “nosotros” o “us”) and the user (“Usuario” o “usted”).
1.2. Relationship to the Terms. These Marketplace Terms are special terms to the StrategyQuant License and Service Terms published on our website (the “Terms”). Capitalised terms not defined here have the meaning given in the Terms. Matters not regulated here are governed by the Terms; in the event of a direct conflict concerning the Marketplace or Extensions, these Marketplace Terms prevail.
1.3. Structure. Part A (Sections 2–8) applies to every User who browses or installs Extensions. Part B (Sections 9–13) applies in addition to every User who publishes an Extension (a “Contributor”). Part C (Sections 14–15) applies to everyone.
1.4. Acceptance. You accept Part A when you install an Extension for the first time, and Part B when you publish an Extension for the first time.
1.5. Definitions.
a) "Extension” means any add-on made available through the Marketplace for use with the Software, such as indicators, plugins, result plugins, custom blocks, random groups, templates, build configurations, custom projects, strategies and libraries, including their documentation and updates;
b) "Publisher” means the author offering an Extension: the Company or a Contributor;
c) "StrategyQuant Extension” means an Extension published by the Company, and “Community Extension” means an Extension published by a Contributor;
d) "Membership” means a paid subscription to a membership level (currently “ELITE”) that unlocks Extensions, Courses or other content marked for that level (“Membership Content”);
e) "Paid Extension” means an Extension offered for a separate price;
f) "Salida” means any strategy, configuration or other result you create in the Software with the use of an Extension.
PART A – USING THE MARKETPLACE
2. ACCESS AND INSTALLATION
2.1. Installation in the Software. Extensions are presented on the Platform but are downloaded and installed only within the Software, under your User Account. Extensions are not available for download through the website.
2.2. Licence requirement. To install an Extension, you need a User Account and either a valid License to the Software or an active Trial program. We verify your License or Trial program each time you download an Extension.
2.3. Compatibility. Each Extension states the Software and versions it is intended for. We do not guarantee that an Extension will remain compatible with future versions of the Software.
3. LICENCE TO EXTENSIONS
3.1. Licence grant. Subject to these Marketplace Terms, the Publisher grants you a limited, non-exclusive, non-transferable licence to install and use the Extension with the Software under your License, for your own research, strategy development and trading, including commercial trading on your own account. For Community Extensions, we grant this licence on behalf of the Contributor (Section 11.2).
3.2. Restrictions. You may not copy, publish, distribute, sell, rent or otherwise make an Extension available to third parties, alone, as part of another product or in modified form, except as Section 4 expressly allows. You may not remove proprietary notices from an Extension or circumvent the verification of your License.
3.3. Other licences. A Contributor may offer a Community Extension under a different licence, for example an open-source licence, stated on the Extension’s page. That licence then applies to the Extension instead of Sections 3.1 and 3.2.
4. OUTPUTS
4.1. Your Outputs. Strategies and other Outputs you create with the use of Extensions belong to you, and you may use them for any lawful purpose, including live trading.
4.2. Selling or distributing Outputs. You may sell or otherwise distribute an Output to third parties only if it contains your own substantial contribution, such as your own indicator, condition, entry or exit logic, filter or money management, and is not substantially identical to the Extension from which it was created. Reselling or redistributing an Extension, or an Output that merely reproduces it with changes limited to parameters, names or formatting, is not permitted.
4.3. Strategy Extensions. Where an Extension is itself a finished strategy, you may trade it, but Section 4.2 applies to any sale or distribution of it.
5. MEMBERSHIP CONTENT
5.1. Access. Membership Content is available only during an active Membership. Memberships are subscriptions governed by Section 3 of the Terms.
5.2. After the Membership ends. Extensions you installed during an active Membership remain installed and may continue to be used under Section 3. You lose access to their updates, to Membership Extensions you have not installed, and to Membership Courses and other Membership Content on the Platform.
6. PAID EXTENSIONS
6.1. Purchase. Paid Extensions are purchased through our authorised reseller and merchant of record; Section 3.7 of the Terms applies. Prices are stated exclusive of VAT and other applicable taxes, which are added at checkout according to your country of residence.
6.2. Seller. We sell Paid Community Extensions to Users in our own name. The Contributor is named as the author of the Extension, but is not a seller or a party to the purchase contract; Users address all questions, complaints and refund requests to us.
6.3. Duration and updates. A purchased Paid Extension may be used for an indefinite period under Section 3, unless its page states that it is a subscription. Updates are provided for as long as the Publisher offers them, without prejudice to updates required by law to keep the Extension in conformity with these Marketplace Terms.
6.4. Right of withdrawal. If you are a consumer, by purchasing a Paid Extension you expressly request that it be supplied immediately, and you acknowledge that your right of withdrawal lapses once its download has begun. You will receive a confirmation of this on a durable medium.
7. UPDATES, CHANGES AND REMOVAL
7.1. Updates. Publishers may update Extensions; updates are delivered through the Software. Older versions of an Extension may stop working with newer versions of the Software.
7.2. Removal from the Marketplace. We may remove an Extension from the Marketplace at any time, in particular following review, a notice under Section 14, a breach of these Marketplace Terms, or at the Publisher’s request. Removal does not affect copies you have already installed, except where the Extension is removed because it is unlawful, infringes third-party rights or contains harmful code. In those cases you must stop using and delete it, and for a Paid Extension you are entitled to a refund of the price paid.
7.3. Disabling harmful Extensions. Where an Extension poses a security risk to Users, we may disable it in the Software remotely.
8. COMMUNITY EXTENSIONS, NO ADVICE, LIABILITY
8.1. Community Extensions. Community Extensions are created by Contributors, not by us. We review every Extension before publication (Section 9.3), but our review cannot exclude all errors or harmful behaviour and is not a guarantee of functionality, accuracy or results. Extensions run code on your device; keep backups of your work.
8.2. No investment advice. Extensions, including strategies, templates and their descriptions, are tools for research and education. They do not constitute investment, financial or trading advice, or a recommendation to trade any instrument.
8.3. Hypothetical performance. Backtest results, statistics and charts shown for Extensions are hypothetical or simulated and are not indicative of future results. Trading involves a substantial risk of loss.
HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.
8.4. Liability. Our liability for StrategyQuant Extensions and for Paid Extensions sold by us is governed by Section 12 of the Terms, including your statutory rights as a consumer. For Community Extensions provided free of charge, we act as a hosting provider and are not liable for their content, functionality or the consequences of their use, without prejudice to our obligations under Section 14 and to any liability that cannot be excluded by law.
PART B – CONTRIBUTORS
9. PUBLISHING EXTENSIONS
9.1. Eligibility. To publish an Extension, you need a User Account and a valid full License to the Software; a Trial program is not sufficient. We verify your License each time you upload an Extension or its update.
9.2. Information. You must describe the Extension accurately, state the Software and versions it supports, and disclose any third-party components and their licences. Your display name is shown publicly with your Extensions.
9.3. Review before publication. Every Extension and every update is reviewed by us before publication. We may request changes, refuse publication or publish under conditions, at our discretion and without any obligation to publish. Our review does not transfer your responsibility for the Extension to us.
10. YOUR WARRANTIES AND CONTENT RULES
10.1. Warranties. You warrant that:
a) you are the author of the Extension or hold all rights needed to publish it under these Marketplace Terms;
b) it does not infringe the rights of any third party, including copyright, the licence terms of third-party code (for example code ported from other trading platforms) and trademarks;
c) it contains no malicious, hidden or harmful code, no code that circumvents the licensing of the Software or of any other product, and no function not disclosed in its description;
d) it does not collect or transmit data from the User’s device unless this is clearly disclosed and approved by us;
e) it contains no personal data of third parties.
10.2. Content rules. Extensions and their descriptions must not:
a) promise or imply guaranteed or risk-free profits, or present hypothetical results as actual results;
b) contain misleading statements about performance or functionality;
c) advertise or link to third-party services without our approval;
d) contain unlawful, offensive or discriminatory content.
11. LICENCES YOU GRANT
11.1. Licence to us. You grant us a non-exclusive, worldwide licence, without remuneration other than the revenue share under Section 12, to host, store, reproduce, review, test, display, distribute, sell, sublicense and make the Extension available to Users, to adapt it for technical compatibility with the Software, and to use its name, description, images and your display name to present and promote the Marketplace. The licence lasts while the Extension is available in the Marketplace and afterwards to the extent needed for Users who installed it.
11.2. Licence to Users. You authorise us to grant Users, on your behalf, the licence under Sections 3.1 and 3.2, or the licence you choose under Section 3.3. This licence survives the removal of the Extension for Users who installed it before the removal.
11.3. Ownership. You retain ownership of your Extension. Section 15.8 of the Terms (Submissions) does not apply to Extensions you publish in the Marketplace.
12. PAID COMMUNITY EXTENSIONS AND REVENUE SHARE
12.1. Applicability. This Section applies to Paid Community Extensions once we make this option available to Contributors.
12.2. Pricing. You may offer an Extension as a Paid Extension at a price you propose within the limits we set. We approve the final price. We may include your Extension in promotions and discounts; we will inform you in advance, and you may opt out of a promotion before it starts.
12.3. Sale. We sell Paid Community Extensions to Users in our own name, as a reseller of the licence you grant us under Section 11.1, through our merchant of record, which handles payment, invoicing, VAT, refunds and chargebacks. Your contractual relationship is with us only; you are not a seller to Users.
12.4. Revenue share. You receive 80 % of the Net Revenue from each sale of your Extension and we retain 20 %. “Net Revenue” means the price paid by the User less VAT and other taxes, payment processing and merchant-of-record fees, refunds and chargebacks.
12.5. Membership Content. We include a Community Extension in Membership Content only with your consent. Unless agreed otherwise in writing, you receive no remuneration for an Extension included in a Membership.
12.6. Payouts. We pay your share monthly, within 30 days after the end of each calendar month, once your balance reaches USD 50; a lower balance is carried over to the following month. Payouts are made to the payout method stated in your account, and you receive a statement of sales for each month.
12.7. Taxes and onboarding. You are responsible for taxes on your share. Before the first payout, you must provide your identity, country of tax residence, tax identification number, payout details and any tax forms we reasonably require. We may deduct any withholding tax required by law from your share and will provide you with a confirmation of the tax withheld. If you provide a certificate of tax residence and any other documents required under an applicable double taxation treaty before the payout, we apply the reduced treaty rate. Where you are required to issue an invoice for your share, you agree that we issue it on your behalf on the basis of the statement of sales (self-billing), unless you notify us that you will issue invoices yourself. Each self-billed invoice is made available to you together with the statement of sales; you may object to it within 14 days, otherwise it is deemed accepted.
12.8. Adjustments. Refunds and chargebacks that occur after a payout are deducted from your future payouts.
13. REMOVAL, LIABILITY AND INDEMNITY
13.1. Removal by you. You may withdraw your Extension from the Marketplace at any time; for a Paid Extension, the withdrawal takes effect 30 days after your notice. Users who installed it keep their licence (Section 11.2).
13.2. Removal by us. We may remove or refuse an Extension, suspend your right to publish, or withhold payouts related to an Extension pending investigation, where we reasonably believe it breaches Section 10 or the law. We will give you a statement of reasons (Section 14.4).
13.3. Indemnity. You will indemnify us against claims of third parties arising from your Extension or from your breach of Section 10, in accordance with Section 13 of the Terms.
13.4. No guaranteed sales. We do not guarantee any number of downloads or sales and are not liable for loss of revenue resulting from the removal of an Extension in accordance with these Marketplace Terms.
PART C – NOTICES AND FINAL PROVISIONS
14. NOTICES, MODERATION AND COMPLAINTS
14.1. Notices. Anyone may notify us of an Extension or other content in the Marketplace that they believe is illegal or breaches these Marketplace Terms, using the reporting function on the Extension’s page or by e-mail to [email protected]. A notice should identify the content and its exact location, explain why it is illegal or infringing, include the notifier’s name and e-mail address, and confirm that the notifier believes in good faith that the information in the notice is accurate and complete.
14.2. Handling. We confirm receipt of each notice, process it in a timely, diligent and objective manner, and inform the notifier of our decision.
14.3. How we moderate. Our content moderation consists of review before publication, review of notices and, where necessary, removal of an Extension, restriction of its visibility, disabling it in the Software, suspension of publishing rights or termination of the User Account. Decisions are taken by our staff. We may use automated tools to detect harmful code, but no decision is taken solely by automated means.
14.4. Statement of reasons. If we remove or restrict an Extension or suspend a Contributor, we inform the Contributor of the decision and its reasons, including the facts relied on, the legal or contractual ground, and the means of redress available under Section 14.5.
14.5. Complaints. A Contributor or notifier may contest our decision within six months by e-mail to [email protected]. Complaints are reviewed, where possible, by a person not involved in the original decision.
14.6. Point of contact. Authorities and Users can contact us about the Marketplace at [email protected], in English or Czech.
15. FINAL PROVISIONS
15.1. Changes. We may change these Marketplace Terms in accordance with Section 15.10 of the Terms. Changes to the revenue share apply only to sales made after the change takes effect.
15.2. Termination. These Marketplace Terms end together with the Terms. Section 11.2 survives for Users who installed an Extension before termination, and Section 12 survives until all amounts due have been settled.
15.3. Governing law and disputes. Section 15 of the Terms applies.
